1Who We Are and Acceptance
These Terms of Use (“Terms”) govern access to and use of the ArticleMetricsDaily website, platform, dashboards, monitoring services, alerts, reports, integrations, application programming interfaces (“APIs”), and related services (together, the “Services”). The Services are operated by Cerber Labs LLC, a limited liability company registered in Delaware, United States, with its registered office at 251 Little Falls Drive, Wilmington, DE 19808, United States (“ArticleMetricsDaily”, “we”, “our”, or “us”).
By creating an account, selecting an acceptance checkbox, executing an order, or using the paid Services, you agree to these Terms. If you are accepting for an organisation, you confirm that you have authority to bind it; “you” and “Customer” then refer to that organisation. A person without that authority must not accept these Terms on its behalf.
The Services are designed primarily for professional research, analytics, monitoring and business use.
2Contract Documents and Order of Priority
An order form, checkout confirmation, subscription plan, enterprise agreement, service-level agreement, data processing agreement, or product-specific addendum may apply (“Order Documents”). If there is a conflict, an expressly signed enterprise agreement prevails, followed by an applicable data processing agreement for personal-data processing matters, any Order Document, then these Terms, unless the relevant document states a different order.
Our Privacy Policy explains how personal information is processed. It is a notice, not a substitute for any consent or other lawful basis required by law. Certain integrations and third-party services may be subject to additional terms clearly presented before activation.
3What the Services Do
ArticleMetricsDaily provides tools to observe and analyse content and advertising-related signals associated with Google Discover and, where identified, other supported content environments. Available functions may include personalised and non-personalised feed observations, publisher and competitor monitoring, content and topic discovery, article-level entities, trends, research filters, tracking lists, alerts, visual archives, account-level analytics, exports, API access and analytical support.
Functionality, geographic coverage, supported devices and languages, historical windows, sampling frequency, storage duration, plan quotas and access permissions depend on the subscription and may change as the Service evolves. Product descriptions are not guarantees of complete coverage of Google Discover or the availability of a particular source at all times.
Google and Google Discover are names and trademarks of their respective owners. ArticleMetricsDaily is an independent service and is not endorsed by, sponsored by, or affiliated with Google unless we expressly disclose a formal relationship.
4Definitions: Observed, Derived and Estimated Data
“Observed Data” means information recorded from a particular collection event, such as an observed card appearance, time, supported country, configured profile, device type, source URL, publication URL or screenshot, to the extent that such information is available and accurately captured. “Derived Data” means classifications, clusters, labels, entity recognition, scores and comparisons generated by ArticleMetricsDaily from available signals. “Estimated Metrics” include model-based impressions, projected reach, index scores, forecasts, estimated share of visibility and any other probabilistic or inferred value.
An observed appearance means only that an item was encountered in the recorded observation context. It does not establish that the item appeared to all users, that the audience viewed or clicked it, that the advertisement was actually served to any identified person, or that an advertiser paid for a particular impression. An absence of observation is not evidence that content or an advertisement was never shown.
Estimated Metrics and Derived Data are not official figures from Google, advertisers, publishers, analytics accounts, or other third parties unless specifically identified as such. We aim to distinguish observed facts from our estimates within the user interface and supporting documentation.
5Sampling, Personalisation and Coverage
Google Discover feeds are personalised and context-dependent. Results can vary materially with observation profile, account configuration, user interests, language, geography, device, timing, algorithms, inventory and third-party product settings. ArticleMetricsDaily observes selected contexts; it does not observe every user’s personalised feed or supply a statistically representative sample of the entire population unless a clearly documented methodology expressly supports that claim.
Where a feature uses configured, simulated, or test profiles, the profile describes an observation setup, not necessarily a real person, demographic group or actual audience segment. Any population-level interpretation of those observations is an inference and must be treated as such. The selection and meaning of profiles, precision of timestamps, coverage gaps and classification confidence may vary.
6Third-Party Platforms and Source Changes
Our Services rely in part on availability of third-party websites, interfaces, content and signals. Third-party operators may change algorithms, interfaces, visibility rules, geographic availability, technical access or terms, or withdraw content, often without notice. We may adjust, pause, remove or discontinue features and data sources as reasonably necessary for legal compliance, security, technical viability or protection of third-party rights.
Links to, references to, and integrations with third-party websites do not imply endorsement. Customers must comply with all applicable third-party terms in their own independent use of third-party services. These Terms do not give ArticleMetricsDaily or any Customer permission to violate a third party’s terms or intellectual-property rights.
7Eligibility, Accounts and Security
You must be legally capable of contracting and at least 18 years old to register. You agree to provide accurate billing and registration information and maintain it. Each authorised user should have individual credentials. You are responsible for permissions, internal user management and activities under your accounts to the extent permitted by law.
You must protect passwords, API keys and access tokens, use available access controls, and notify security@articlemetricsdaily.com promptly of suspected compromise. We may take reasonable measures to verify account ownership and protect the platform from abuse. Shared credentials, credential resale, impersonation and circumventing user or plan limits are prohibited.
8Licence and Permitted Use
While your subscription is active and you comply with these Terms, ArticleMetricsDaily grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your legitimate internal business operations. You may use ordinary charts, data extracts and original ArticleMetricsDaily analyses in internal presentations and client reports as expressly permitted by your plan, subject always to restrictions on third-party content and personal data.
External publication, onward licensing, bulk redistribution or commercial resale of ArticleMetricsDaily data, screenshots, creative materials or third-party content requires an appropriate plan, an express written licence or another lawful basis. Neither purchase of a subscription nor availability of an export feature transfers ownership of source articles, photographs, advertisements, trademarks or other third-party materials to you.
9Acceptable Use and Prohibited Conduct
You may not:
- use the Services unlawfully or to infringe privacy, intellectual-property or other rights
- attempt to compromise security, extract source code or reverse engineer protected software except where mandatory law permits
- scrape, harvest or systematically copy Service data outside authorised interfaces
- evade usage quotas, rate limits or access controls
- resell, time-share or supply the Services as a competing data feed without permission
- upload malware or perform unauthorised vulnerability testing
- send spam or abusive automated alerts
- use the Services to target or profile identified individuals in an unlawful or discriminatory manner
You must not upload passwords, payment-card numbers, highly sensitive personal information, or regulated datasets unless ArticleMetricsDaily has expressly agreed to support such data under documented security and data-protection terms. You must not use outputs to make solely automated decisions about individuals with legal or similarly significant effects without an independent lawful basis and appropriate safeguards.
10Customer Inputs and Confidential Settings
You retain any rights you hold in information, watchlists, brand and domain selections, configurations, notes, uploaded data and other materials you supply (“Customer Inputs”). You grant ArticleMetricsDaily a limited permission to host, process, reproduce and display Customer Inputs solely to provide, maintain, secure and support the Services and as otherwise authorised in your Order Documents or applicable law.
You represent that you are entitled to submit Customer Inputs and instruct their processing. Your watchlists, saved research, proprietary instructions, custom dashboards and private account outputs will be treated as Customer confidential information as described below, subject to the limited disclosures needed to provide the Services and any agreed support.
11Intellectual Property and Third-Party Materials
ArticleMetricsDaily and its licensors own the software, interfaces, databases to the extent legally protected, original taxonomies, analytical methods, derived scoring systems, documentation and trademarks associated with the Services. Customer retains rights in Customer Inputs. Each publisher, advertiser, photographer, platform and other rights holder retains rights in its own material.
Content previews, third-party headlines, thumbnails, screenshots, advertising creatives, article links and other source materials (“Third-Party Materials”) may be shown only to help identify, verify or analyse observed items within the functions supported by ArticleMetricsDaily. Their display does not imply a licence for customers to reproduce, distribute, publicly display, or commercially reuse them.
Any rights to capture, store, preview, export or redistribute Third-Party Materials depend on applicable law, licences, source terms and technical implementation. ArticleMetricsDaily may restrict the display or export of particular items or replace an item with a link or metadata where necessary to respect rights or comply with a legitimate request.
12Rights-Holder Complaints and Corrections
If you believe that any item or material displayed through the Services infringes rights you hold, please contact legal@articlemetricsdaily.com with: your identity and contact details; identification of the material and its URL or report ID; evidence of ownership or authority; a description of the concern; and any other information reasonably needed to evaluate the request.
We will assess sufficiently specific notices in good faith, may request additional information, and may remove or restrict disputed material, correct metadata or cease using a source while we investigate. Where applicable, statutory notice-and-takedown and counter-notice procedures will apply. This process does not limit any mandatory legal remedies.
13Subscriptions, Trials and Fees
Subscription scope, seats, market coverage, retention, API quotas, monitoring frequency, trial conditions and fees are specified at checkout or in an Order Document. Unless otherwise stated, fees are charged monthly or annually, as selected in your plan in advance, exclusive of applicable taxes. We may engage a payment processor or merchant of record identified during checkout.
We will disclose any automatic renewal, billing interval, cancellation deadline, minimum commitment, trial-to-paid conversion and price changes clearly before you place an order, and provide any advance notice required by applicable law or agreed contract. Unless an Order Document states otherwise, subscription changes take effect as stated in the checkout confirmation.
Non-payment may result in a reasonable suspension after notification, subject to mandatory laws and agreed cure periods. Billing disputes should be sent to billing@articlemetricsdaily.com within 30 days after the invoice is issued, without limiting non-waivable rights.
14Cancellation, Renewal and Refunds
You may cancel or disable automatic renewal via account settings or by contacting billing@articlemetricsdaily.com. Cancellation ordinarily prevents the next renewal; it does not necessarily result in immediate removal of paid access. The exact end date is shown in your account or Order Document.
Fees for a committed period are non-refundable except where required by law, where expressly promised in an Order Document, or where ArticleMetricsDaily ends a prepaid subscription for reasons unrelated to Customer breach. We will not use these Terms to exclude any statutory refund, withdrawal, or cancellation rights that apply to a particular buyer.
15API, Exports, Automations and Alerts
API keys, exports, webhook deliveries and other integrations are subject to the plan’s technical and volume limits, documented interfaces, security controls and any applicable API terms. We may apply rate limiting or temporary blocks to prevent abuse or outages. You are responsible for securing exported data and any third-party integrations you connect.
Alerts and monitoring notifications are convenience tools and may be delayed, incomplete or interrupted due to sampling schedules, email filtering, third-party services, network incidents or product changes. A notification is not a guarantee of contemporaneous publication, continued availability or the accuracy of an inference.
16Data Protection and Confidentiality
Personal information is handled as described in the Privacy Policy. If ArticleMetricsDaily processes Customer personal data as a processor on Customer’s behalf, the parties will enter into any data processing agreement required under applicable law. A separate assessment is needed for each relevant processing activity: not all observations of public content are necessarily free of personal information.
Each party shall use the other party’s non-public information only to perform this agreement and shall protect it with reasonable care. Confidential information excludes material already public through no breach, lawfully known beforehand, independently developed, or lawfully obtained from a third party without confidentiality duties. Disclosure to staff, professional advisers and service providers is permitted where subject to appropriate confidentiality obligations; disclosures required by law remain permitted.
17Product Improvements, Feedback and AI/Model Outputs
We may collect technical and usage information to provide security, resolve bugs, improve performance and develop the Services as disclosed in our Privacy Policy and applicable agreements. Any use of Customer content or personal data to train third-party or general-purpose AI models will be governed by documented choices and contractual controls, not inferred from this general clause.
If the Services produce automated summaries, entity tags, scores or forecasts, such outputs may contain errors or omissions and require independent review before high-impact business decisions. We may use non-confidential feedback and suggestions to improve the Services without payment, but this does not override confidentiality or data-protection obligations.
18Availability, Support and Changes
We will use reasonable efforts to operate the Services securely and provide subscribed functionality. Unless an SLA expressly states otherwise, we do not promise uninterrupted operation, guaranteed coverage or a fixed data latency. Planned maintenance, third-party outages, source restrictions and security incidents may temporarily affect access.
We may change or remove features to comply with law, respond to third-party changes, improve security or maintain the service. For a material adverse change to a paid subscription, we will provide reasonable notice where practicable and any contractual remedy required by the relevant agreement or law.
19Suspension, Termination and Data Export
Either party may terminate for a material breach that is not cured within 30 days after written notice, unless immediate action is required to prevent security harm, unlawful activity, infringement, regulatory exposure or serious interference with the Services. We may temporarily suspend affected access proportionately to address those risks.
On expiry or termination, your licence ends. During 30 days after expiry, we will provide the opportunity to retrieve eligible Customer Inputs and available exports to the extent described in your plan or enterprise agreement, unless security or law requires otherwise. Account data may then be deleted or anonymised under the retention schedule, legal holds, backup cycles and any applicable DPA. Copies lawfully included in backups may remain until normal backup rotation.
20Disclaimers and Reliance
The Services are provided for information, research and decision support. We do not warrant that results are comprehensive, free from classification error, representative of any particular audience, equivalent to official platform analytics, or suitable for a specific commercial decision. Business performance and advertising results depend on factors beyond ArticleMetricsDaily’s control.
To the maximum extent permitted by law, and except for express written commitments, the Services are provided “as is” and “as available”. We do not provide legal, investment, tax, clinical, election-law or other regulated professional advice. In particular, estimated advertising exposures or model-based reach must not be presented as verified advertising spend or official campaign delivery data.
21Liability Allocation
Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct, or mandatory consumer/statutory rights where applicable. Subject to that rule and any negotiated enterprise terms, neither party is liable for indirect or consequential loss, lost profit, lost opportunity, or loss of anticipated savings arising from these Terms, to the extent such exclusion is enforceable.
Except for payment obligations, misuse of intellectual property, breach of confidentiality or data protection obligations, and indemnities, each party’s aggregate liability arising in connection with the Services is limited to the amount paid or payable by Customer for the affected Services during the 12 months preceding the event giving rise to the claim. The parties must choose and review appropriate exceptions, cap period and enforceability for the governing law.
22Indemnification (if appropriate to the market)
Customer will defend and indemnify ArticleMetricsDaily against third-party claims arising from unlawful Customer Inputs or Customer’s unauthorised redistribution of Third-Party Materials, to the extent directly caused by Customer’s breach, subject to prompt notice, reasonable cooperation and Customer control of the defence where lawful.
23Law, Disputes, Notices and General Terms
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, and the courts of the State of Delaware have jurisdiction, except where mandatory law requires otherwise.
We may update these Terms to reflect product, operational, or legal changes. For material changes affecting existing paying customers, we will provide notice through account messaging or email and identify the effective date; material modifications to agreed subscription economics require any additional consent or notice required by law or contract. If a clause is unenforceable, the remainder continues to apply insofar as lawful.
We may contact you using the current email associated with your account. Formal legal notices to ArticleMetricsDaily should be sent to legal@articlemetricsdaily.com and Cerber Labs LLC, 251 Little Falls Drive, Wilmington, DE 19808, United States. No failure or delay in enforcing a right constitutes a general waiver. Neither party may assign its contractual rights except as authorised under an enterprise agreement or the governing law.
